The Contract Procurement Specialist's primary responsibility is to review prime agreements between Garver and its clients, when subcontracted services are to be used, to ensure terms that represent a risk to Garver are correctly integrated into the terms of Garver’s subcontracts. This position will advise and assist Project Managers and associated staff by drafting the legal and commercial elements of Garver subcontracts (including subconsultant master services agreements), amendments, work orders, and other procurement agreements, as well as negotiating subcontract terms and conditions, to ensure the subcontract terms comply with the terms of our prime agreements and any applicable guidelines set forth in Garver’s policies.
General Characteristics:
- Entry-level familiarity with legal terms specific to contracts. Ability to review and analyze contract language to identify terms that represent material risk to Garver.
- Communicates effectively in written and verbal form.
- Works diligently to ensure tasks are completed correctly with a sense of urgency.
- Must understand the increased confidentiality requirements from working with and having access to proprietary legal information and documents.
- Must exercise due diligence in maintaining an elevated degree of confidentiality in all work product, communications, and interaction with staff.
Key Responsibilities:
- Draft project-specific subcontract templates as requested and coordinate project team review.
- Interpret and explain regulations, policies and procedures related to the subcontract procurement process.
- Negotiate terms and conditions of subcontracts.
- Assist with preparing, sending, and or/obtaining documents needed to execute a subcontract.
- Assist Commercial Counsel with tasks related to prime agreement review, including checking for process compliance.
- Provide subject matter expertise and in-depth knowledge of Garver’s end-to-end subcontract management process.
- Maintain status reports for internal reporting purposes, as needed.
- Assignment of other ad hoc projects within the Legal Team, as needed.
Required Education/Professional Experience:
- Bachelor’s degree or equivalent combination of education and experience (e.g., paralegal).
- At least one (1) year of experience in contract drafting and review or equivalent transferable experience.
- Background in contract procurement is an advantage but not mandatory.
- Experience working in the AEC industry is an advantage but not mandatory.
- Demonstrated capacity for effectively learning complex material is an advantage.
- A history of work requiring heightened attention to detail is an advantage.
